Rental Agreement

This Rental Agreement ("Agreement") is between:

rawframes - a sole trader operating in New Zealand, contactable at seth@rawframes.co.nz ("rawframes", "we", "us", "our"); and

The Customer - the person who places a booking through rawframes.co.nz and is named on the booking confirmation ("you", "your").

By completing a booking, you confirm you have read, understood, and agree to be bound by this Agreement. This Agreement should be read together with our Terms of Service and Privacy Policy.


1. The Equipment

"Equipment" means the camcorder(s), microphones, cables, batteries, memory cards, cases, packaging, prepaid return courier label, and any other items dispatched by rawframes to you in connection with your booking. The exact contents of your kit depend on the package you booked and will be itemised on your booking confirmation and on a packing slip inside the kit.

Equipment remains the sole property of rawframes at all times. You are renting it; you do not at any point own it.

2. Booking, Availability, and Payment

2.1 A booking is initiated by completing the booking flow on rawframes.co.nz and providing valid payment details. Placing a booking is a request to reserve the date - it is not a confirmed booking until clauses 2.2 to 2.4 are satisfied.

2.2 Availability confirmation. Within 24 hours of receiving your booking request, rawframes will confirm in writing (by email) whether your selected date can be accommodated.

(a) If we can accommodate your date, rawframes will process your full payment using the payment details provided, and a confirmation email will be sent. Your date is held and your booking is confirmed at the moment payment is successfully processed and we send the confirmation email - not at the moment you completed the booking flow.

(b) If we cannot accommodate your date, no payment will be processed. We will let you know in writing and refund any holding charge or pending authorisation. You are welcome to enquire about alternative dates.

2.3 No deposit is taken at the booking-request stage. Full payment is taken only at the point we confirm availability under clause 2.2(a).

2.4 Payments are processed by Stripe. rawframes does not store your full card details - Stripe does, as our PCI-compliant payment processor.

2.5 You authorise rawframes to retain a tokenised reference to your card via Stripe for the duration of the rental and for 30 days after the kit is returned, for the purpose of charging any amounts owed under this Agreement (including late fees, damage, loss, or non-return as set out in clauses 7 and 8). Before charging any such amount, we will give you written notice and a summary as set out in clause 7.9.

2.6 All prices are in New Zealand Dollars (NZD).

3. Rental Period

3.1 The Equipment will be dispatched so that it is expected to arrive at least 3 days before your event date. rawframes may dispatch the Equipment earlier at its discretion to allow for courier delays or rural delivery times.

3.2 You must dispatch the Equipment back to rawframes using the prepaid return courier label provided in the kit within 72 hours of your event end time.

3.3 If your event spans more than one day, the return clock starts at the end of the final day of the event as set out in your booking.

3.4 "Dispatch" for the purposes of clause 3.2 means the Equipment has been physically handed to the courier (e.g. dropped at a courier depot or lodged at a NZ Post / Aramex pickup point), not merely packed or scheduled.

4. Delivery and Return

4.1 rawframes covers all standard courier costs for both the outbound delivery and the return shipment. A prepaid return courier label is included in the kit.

4.2 You are responsible for providing a correct, accessible delivery address and ensuring someone is available to receive the kit. If the courier cannot deliver and the kit is returned to a depot or to rawframes, additional costs incurred (including re-delivery fees) may be charged to you.

4.3 You are responsible for the safe handling and packing of the Equipment for return, including using the original packaging and protective materials provided. The Equipment must be returned via the prepaid return label only; do not use an alternate courier without our prior written agreement.

4.4 Risk in the Equipment passes to you upon delivery to the address you provided and remains with you until the Equipment is signed back into rawframes' custody by the return courier or at our premises.

5. Your Responsibilities and Use of the Equipment

5.1 You must:

(a) keep the Equipment in your possession or in the possession of trusted people you have authorised at your event;

(b) keep the Equipment dry, secure, and away from sand, salt water, sea spray, swimming pools, food and drink, smoke machines, fireworks, and other foreseeable sources of damage;

(c) not allow the Equipment to be used by children under the age of 16 unless supervised by an adult who is responsible for it;

(d) follow any written instructions, quick-start guide, or care notes provided with the Equipment;

(e) not modify, repair, dismantle, or attempt to repair the Equipment regardless of fault, and not remove or tamper with any seal, label, or serial number;

(f) not use the Equipment for any unlawful purpose, including recording any person who has not consented to being recorded where consent is legally required;

(g) not sell, sublet, gift, lend, pledge, or otherwise transfer possession of the Equipment to any third party other than guests at your event using it in the ordinary way;

(h) not remove the Equipment from New Zealand.

5.2 You are responsible for the actions of any guest, family member, supplier, or other person you allow to use or handle the Equipment.

6. Memory Cards and Footage

6.1 Memory cards are part of the Equipment. You must return all memory cards inside the kit, in the slots they came in, with footage left on the cards. Do not delete, format, edit, copy, or transfer footage from the memory cards before returning them.

6.2 You acknowledge that any footage recorded on the Equipment during the rental period is captured for the purpose of producing your edited film and your organised raw footage deliverable under clause 9.

6.3 If memory cards are returned wiped, formatted, damaged, or missing, we may not be able to produce the edited film or raw footage deliverable, and clause 11.3 will apply. The replacement cost of any lost or damaged memory cards is also recoverable under clause 7.

7. Loss, Damage, Cleaning, and Late Return

7.1 Except for damage caused by rawframes' negligence before dispatch, you assume and bear the entire risk of loss and damage to the Equipment, and to any video and audio recordings on it, from any and every cause whatsoever, from the moment the Equipment is delivered to you under clause 4.4 until it is signed back into rawframes' custody.

7.2 No loss or damage to the Equipment will reduce, suspend, or excuse any obligation you have under this Agreement, including your obligation to pay any amounts owed.

7.3 Damage and replacement. In the event of damage of any kind whatsoever to the Equipment, rawframes may: (a) charge the card on file for the full cost of repair, up to $700 NZD; and (b) repair the Equipment using a vendor at rawframes' sole discretion. Where any item of Equipment is damaged beyond repair, lost, stolen, destroyed, or not returned at all, you shall pay rawframes the full replacement value of that Equipment.

7.4 Loss of Use Fee. In addition to any repair or replacement fees, rawframes may charge the card on file a "Loss of Use Fee". The Loss of Use Fee is equal to the daily rental fees rawframes would have been entitled to receive for the Equipment had it not been damaged or lost.

7.5 Normal wear and tear from reasonable use of the Equipment at the event is not chargeable.

7.6 Cleaning. You must ensure that the Equipment, when returned to rawframes, is clean. Should the returned Equipment be deemed dirty in rawframes' sole judgment, rawframes reserves the right to charge a "Cleaning Fee" to the card on file.

7.7 Late return. If Dispatch (as defined in clause 3.4) does not occur within the 72-hour return window in clause 3.2, this may result in additional fees.

7.8 Deemed lost. If the Equipment has not been dispatched back to rawframes within 10 calendar days of the end of the 72-hour return window, the Equipment will be deemed lost, and the full replacement value under clause 7.3 together with the Loss of Use Fee under clause 7.4 will apply to the full kit.

7.9 Notice before charging. Before charging any amount under this clause 7 to the card on file, rawframes will provide you with a written summary of the loss, damage, cleaning, late, or Loss-of-Use assessment and the amount being charged. You will have 5 business days from that summary to query the assessment in writing before the charge is processed.

7.10 You agree that any amount charged under this clause 7 is a genuine pre-estimate of rawframes' loss, not a penalty.

8. Booking Changes and Cancellation

8.1 Non-refundable retainer. The retainer for the services provided by rawframes is 100% of your order total at the time of booking and is non-refundable, irrespective of the payment method used at the time of booking. You agree that this fee fairly compensates rawframes for committing to provide the services and for turning down other potential bookings and clients for your date.

8.2 Refunds - rawframes Film Guarantee. You will be entitled to a full refund of amounts paid only if the circumstances satisfy the rawframes Film Guarantee, or where clause 11.2 applies. The rawframes Film Guarantee applies where rawframes, through its own fault, fails to deliver any usable edited film from your event. It does not apply where footage is missing, unusable, or limited due to guest operation, equipment misuse, deletion or formatting of memory cards, or other causes outside rawframes' reasonable control (see clauses 6 and 11), nor to dissatisfaction with the editing style (clause 9). Nothing in this clause limits your non-excludable rights under clause 13.1.

8.3 Date changes. You may request to change your event date once, subject to rawframes' availability on the new date. A date change is not a cancellation and does not entitle you to any refund of the retainer.

8.4 If rawframes cancels a booking other than for your breach of this Agreement (for example, due to circumstances under clause 12), we will refund all amounts paid in full and, where possible, offer to reschedule.

8.5 Cancellation or change requests must be made in writing to seth@rawframes.co.nz and are effective only once acknowledged in writing by rawframes.

9. Deliverables

9.1 After your event and once the kit has been returned and the memory cards reviewed, rawframes will deliver to you:

(a) an edited film in the duration and style described in the package you booked; and

(b) your organised raw footage - the full, unedited recordings from the Equipment, sorted in a sensible structure (typically by camera and/or date) and provided via a secure download link.

9.2 rawframes will use reasonable efforts to deliver both items within 4 to 6 weeks of receiving the returned kit. During peak wedding season (October to April), delivery may take up to 8 weeks. We will keep you informed if a longer timeframe becomes likely.

9.3 The editing style is part of the rawframes service. By booking with us, you acknowledge and accept our editing style. We do not offer revisions based on personal preference, requests to recreate another creator's style, or requests to include footage or moments that were not captured.

9.4 We will, however, correct factual or technical errors in the edited film at no charge where reasonable - for example, a mis-spelled name in a title card, audio sync issues caused by our edit, or a clearly wrong piece of footage included by mistake. Requests under this clause must be raised in writing within 14 days of delivery of the edited film.

9.5 Raw footage is delivered as captured and is not subject to revision.

10. Intellectual Property

10.1 rawframes owns all copyright. rawframes owns all copyright and other intellectual property rights in the edited film and in the raw footage captured on the Equipment.

10.2 rawframes grants you a perpetual, worldwide, royalty-free licence to use the edited film and the raw footage for personal, non-commercial purposes (including sharing with family and friends and posting to your personal social media accounts).

10.3 Marketing use (opt-out). rawframes may use stills and clips from the edited film and raw footage for its own marketing and portfolio purposes (website, social media, advertising) without further approval. If you do not want rawframes to use your material in this way, you may opt out at any time by written notice to seth@rawframes.co.nz, and rawframes will remove the material from any channel it controls within a reasonable time.

10.4 Music used in the edited film is licensed by rawframes from third-party platforms (e.g. Musicbed, Artlist) for synchronisation with the edited film. That licence does not extend to your use of the music separately from the edited film, or to commercial use of the edited film.

11. Things That Can Go Wrong

11.1 Camcorders are mechanical and electronic devices. While rawframes tests and maintains the Equipment before each rental, occasional faults can occur. If a piece of Equipment fails through no fault of yours during the rental period, rawframes' liability is limited as set out in clause 13.

11.2 If footage is partially or wholly lost due to Equipment failure, memory card failure, or similar issues outside your reasonable control, rawframes will:

(a) attempt recovery where reasonably possible; and

(b) refund a fair proportion of the booking price reflecting the lost coverage, as reasonably determined by rawframes acting in good faith.

11.3 If footage is lost or unusable due to misuse, damage, deletion, or formatting caused by you or your guests (clause 6.3), no refund or partial refund is payable, and clause 7 applies to any damaged or lost cards.

11.4 Because the footage is captured by your guests rather than a professional videographer, rawframes does not guarantee that any specific moment, person, or event detail will be captured, nor that all captured footage will meet a particular standard of framing, lighting, audio quality, or steadiness. These limitations are inherent to the rawframes service and are not grounds for refund or revision.

12. Force Majeure

12.1 Neither party is liable for failure or delay in performing this Agreement to the extent caused by an event outside that party's reasonable control, including natural disaster, fire, flood, severe weather, earthquake, pandemic, epidemic, government restriction, civil unrest, courier failure, or major utility outage ("Force Majeure Event").

12.2 If a Force Majeure Event prevents rawframes from delivering the Equipment for your event date, rawframes will, at your option, refund the booking in full or hold the amount as a credit for a new date within 12 months.

12.3 If a Force Majeure Event prevents you from holding your event on the booked date, you may move the booking once under clause 8.3, subject to availability.

13. Liability

13.1 Nothing in this Agreement limits or excludes any rights or remedies you may have under the Consumer Guarantees Act 1993 (NZ), the Fair Trading Act 1986 (NZ), or any other consumer protection law that cannot be lawfully excluded.

13.2 Subject to clause 13.1, and to the maximum extent permitted by law:

(a) rawframes' total aggregate liability to you under or in connection with this Agreement is limited to the total amount paid by you under your booking;

(b) rawframes is not liable for any indirect, consequential, special, or punitive loss, including loss of profits, loss of opportunity, or loss of expected enjoyment.

13.3 You agree to indemnify rawframes for any loss, damage, or claim suffered by rawframes arising from your breach of clauses 5, 6, or 7, or from any unlawful act or omission by you or anyone using the Equipment with your permission.

14. Privacy

14.1 rawframes will handle your personal information in accordance with the Privacy Act 2020 (NZ) and our Privacy Policy.

14.2 The Equipment will capture footage of your guests at your event. You acknowledge that you are responsible for letting your guests know they may be filmed.

15. General

15.1 Entire agreement. This Agreement, together with the booking confirmation, Terms of Service, and Privacy Policy, is the entire agreement between you and rawframes in relation to the rental.

15.2 Assignment. You may not transfer or assign your rights or obligations under this Agreement without rawframes' prior written consent.

15.3 Variation. rawframes may amend its Terms of Service and Privacy Policy from time to time, but the version of this Rental Agreement in force at the time of your booking is the version that governs your rental.

15.4 Severability. If any provision of this Agreement is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force.

15.5 Waiver. A failure or delay by rawframes to enforce any right under this Agreement is not a waiver of that right.

15.6 Governing law and jurisdiction. This Agreement is governed by the laws of New Zealand, and the parties submit to the non-exclusive jurisdiction of the New Zealand courts.

15.7 Notices. Notices to rawframes should be sent to seth@rawframes.co.nz. Notices to you will be sent to the email address on your booking.
